This Agreement shall be subject to and construed in accordance with the laws of India and the Parties hereby submit to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.

In the event of any disputes, differences, or controversies between the Parties hereto, out of or in connection with the provisions of this Agreement, or any action taken hereunder, the Parties hereto shall thoroughly explore all possibilities for an amicable settlement. In case an amicable settlement cannot be reached, such disputes, differences or controversies shall be referred to arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996 including any amendment or re-enactment thereof. The proceedings of such arbitration shall be conducted in English language and the venue of such arbitration shall be Mumbai, India. The award of such arbitration shall be final and binding upon the Parties hereto.

DELIVERY OF PRODUCTS

• Order deliveries will be made by our own staff or third-party courier and logistics companies or Postal Services usually between 10.30 AM – 7 PM Monday –Saturday.
• Goods will need to be signed for upon delivery. Please ensure that the shipment has not been tampered with before signing, you may refuse to accept the delivery if the shipment is soiled, damaged and tampered. Refunds will be processed, within 3 workins days of receiving the request in writing from the customer who has placed the order i.e. if the order is placed on through a credit card then the fund will be transferred through the payment gateway to the same credit card. Once the transfer is initiated the customer will be given a bank reference ID for the refund process. • If the device received by you is defective – you can contact on - https://motorola-mobility-en-in.custhelp.com/app/mcp/contactus.
• On contacting the customer care executives they will try to resolve the issue with the device, and may under specific circumstances guide you to visit nearest Authorized Motorola Service center where you may avail a replacement of device provided it matches 7 days DAP return policy.
• You will be eligible for a replacement only if:
1. Examination of the device shows a functional defect which cannot be resolved through Software update.
2. A replacement request is made within 7 (seven) days of receipt of the delivery of the order by the User.
3. The device has been received in its unused, original condition.
4. The device has been received in the original product packaging along with supporting documentation such as receipt or proof of purchase, price tags, labels, warranty card and any freebies and accessories obtained along with the original product.
• You will not be eligible for a replacement under following conditions:
1. In case the defect is not reproduced at Authorized Motorola Service center
2. Any Hang, Restart, Battery back-up, Heating related issue which can be resolved through Software Update
3. Issues related to Network or Network Service provider
4. Issues related to Accessories
5. Issues caused by any customer-induced damage or tempering
6. Any physical or esthetical scratches or damage
7. Any handset that is returned with damaged original packaging materials or cartons
• *Please note that replacement is subject to availability of a suitable replacement and the decision of the service center post inspection will be final.
• Products which are delivered/received in damaged condition needs to be reported to the logistic Partner – Delhivery @ https://www.delhivery.com/support/

TAX COLLECTION AT SOURCE

• Total tax charged includes all transaction tax (GST) but excludes TCS which will be charged separately if applicable The Finance Act, 2020 has introduced Tax Collection at Source (“TCS”) provisions (effective from 1st October 2020 or such further date as notified by the Government hereinafter known as ‘’effective date’’) in the Income-tax Act, 1961 (“the Act”) requiring a seller to collect TCS on consideration for sale of goods in excess of the prescribed threshold limit (i.e. INR 50 lakhs or any other limit as prescribed by the Government) in aggregate in a financial year.
• Accordingly, if the cumulative consideration for sale of goods (including sale of goods made prior to effective date) receivable by Seller (on or after the effective date) in a financial year(s) or if the cumulative gross value of goods sold (inclusive of taxes) in a financial year, exceeds the prescribed threshold, TCS would be charged / collected at the applicable rates* on such consideration receivable or on such gross value of goods sold (inclusive of taxes), on or after the effective date./ Seller, in accordance with the provision of the Act, reserves the right to charge / collect / adjust TCS through an intimation in any form including by way of a debit / credit note, invoice or any other means. *Applicable Rate at which TCS would be charged is tabulated below (or as amended by the Government from time to time):
